Rights of Usage and Privacy

All components of the Positive Keyword® service, including the Positive Keyword® tracking code, the structure and organization of the reports, Positive Keyword®'s confidential information, Positive Keyword® APIs, and all related intellectual property rights, are the exclusive property of Positive Keyword®, its licensors, and/or its suppliers. Positive Keyword®, its licensors, and/or its suppliers reserve all rights not expressly granted in this Agreement. All data collected and analyzed by the service for your account ("Client Data") and the associated intellectual property rights are your exclusive property.

Positive Keyword® does not incorporate any third-party products, software, or materials into the service for which it does not solely own the intellectual property rights or for which it has not obtained the necessary licenses.

Privacy

By using the Positive Keyword® service, you authorize Positive Keyword® to collect, store, and process Client Data in accordance with this Agreement. During your use of the service, each of your client's websites must have a privacy policy that clearly informs visitors of the tracking and analysis by an analytics and optimization service. It should describe the methods of data collection and use, ensuring compliance with your privacy policies and all relevant laws, including those related to data processing, storage, security, and applicable export and import control laws and regulations.

You agree not to use the service to collect, upload, transmit, store, or provide access to any personal financial or health information or any other personally identifiable information considered private or sensitive. This includes, but is not limited to, social security numbers, individual medical information, driver's license numbers, birth dates, bank account numbers, passwords, and credit card numbers. You also agree to indemnify Positive Keyword®, its directors, officers, employees, and authorized agents from any losses, actions, or claims arising from your breach of this section or any Client Data.

Client Data

Positive Keyword® maintains industry-standard security controls to protect the confidentiality, privacy, integrity, and availability of Client Data. During the term of this Agreement, Positive Keyword® will retain and store the reports included in Client Data as outlined in the Data Retention Policy available at www.positivekeyword.com. Positive Keyword® is not responsible for any Client Data once it has been transmitted, copied, extracted, or removed from Positive Keyword® service servers by you or a third party authorized by you.

Confidentiality

Both parties may have access to each other's confidential and proprietary information ("Confidential Information"). This includes information identified in writing as confidential, as well as information that, based on the circumstances, would reasonably be considered confidential. Confidential Information includes, but is not limited to, the service, formulas, methods, know-how, processes, designs, new products, developmental work, marketing requirements, marketing plans, licensee names, prospective licensee names, terms, and pricing under this Agreement, and benchmarking tests. This obligation of confidentiality does not apply to information in the public domain, in the receiving party's possession without restrictions, or independently developed without reference to Confidential Information. If required by law, the receiving party agrees to provide notice before disclosing Confidential Information.

The obligations of confidentiality shall survive the termination of this Agreement.

Both parties agree not to disclose Confidential Information to third parties, except to employees, contractors, agents, or service providers who require access to exercise their rights or fulfill obligations under this Agreement. Confidential Information will not be used for purposes other than performing this Agreement. Each party agrees not to disclose the results of any performance tests of the Positive Keyword® service. Both parties agree to take reasonable steps to prevent the disclosure or distribution of Confidential Information by their employees or agents in violation of this Agreement.
